This Agreement is between you (“Client”) and Prowject, operating the website www.prowject.com.au (“us,” “we,” or “our”). By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. General Provisions

2. Website Design Services
2.1 Scope of Services
Prowject offers comprehensive website design services, including:

2.2 Service Uptime
Prowject strives to provide a reliable website design service with minimal downtime. However, we do not guarantee uninterrupted service.
2.3 Client Responsibilities
Clients must provide necessary content, credentials, feedback, and approvals in a timely manner to facilitate the design process.
2.3 Theme or Layout License and Ownership
Upon full payment, you are permitted to use the theme for as long as your website hosting remains with Prowject. Should you choose to migrate your website hosting away from Prowject, you will be required to acquire your own license for the theme. If you discontinue the managed hosting service with Prowject, the theme license will no longer be valid, and you must acquire your own license for continued use. Prowject retains the right to display the design in our portfolio and marketing materials.
3. Domain Registration Services
3.1 Scope of Services
Prowject offers domain registration services, including:
– Registration of new domains
– Renewal and transfer of existing domains
– DNS management
3.2 Client Responsibilities
Clients must provide accurate information for domain registration. Clients are responsible for maintaining the accuracy of this information.
3.3 Ownership
Upon a domain transfer, the client grants full permission for their domain to be managed by Prowject. Registered domains are managed by Prowject on behalf of the client. If the domain is new, the client must pay the amount, and Prowject will purchase the domain on the client’s behalf as part of the managing service. The domain will be managed by Prowject as long as the client maintains hosting with Prowject. Any fees associated with domain transfers will be the client’s responsibility. As the customer, you are responsible for ensuring timely payment of renewal fees. Failure to do so may result in the termination of your domain.
3.4 Service Uptime
Prowject strives to provide a reliable domain service with minimal downtime. However, we do not guarantee uninterrupted service.
4. Web Hosting Services
4.1 Scope of Services
Prowject provides web hosting managed services.
4.2 Client Responsibilities
Clients are responsible for maintaining the security of their account, including login credentials.
4.3 Service Uptime
Prowject strives to provide a reliable hosting service with minimal downtime. However, we do not guarantee uninterrupted service.
5. Website Maintenance Services
5.1 Scope of Services
Prowject offers website maintenance services, including:
– Regular updates to software, plugins, and themes
– Security monitoring and updates
– Performance optimization
– Content updates
– Backup and restore services
5.2 Client Responsibilities
Clients must provide necessary access to their website and timely communication for maintenance tasks.
5.3 Service Delivery
Prowject will perform regular updates and provide emergency support as needed. Extra fees may apply.
5.4 Service Uptime
Prowject strives to provide a reliable website maintenance service with minimal downtime. However, we do not guarantee uninterrupted service.
6. Search Engine Optimisation (SEO) Services
6.1 Scope of Services
Prowject offers comprehensive SEO services, including:
– Keyword research and analysis
– On-page and off-page optimization
– Technical SEO
– Content creation and optimization
– Local SEO
– SEO audits and reports
6.2 Client Responsibilities
Clients must provide necessary access and information for SEO tasks and timely responses to requests.
6.3 Performance and Guarantees
While Prowject strives for the best possible outcomes, we do not guarantee specific rankings or results.
7. Payment and Refund Policy
7.1 Payment Terms
All our hosting services are billed annually or for up to 2-3 years, with discounts applied if applicable, renewing at the regular rate thereafter. Accepted payment methods include credit/debit cards, bank transfers, Stripe, and PayPal.
7.2 Late Payments
Late payments may incur additional fees, and services may be suspended until the outstanding balance is paid.
7.3 Refund Policy
Website Design:
All fees for website design services are non-refundable.
Clients are entitled to up to 5 revisions as part of the service agreement.
Domain Registration:
All fees for domain registration services are non-refundable.
Website Hosting:
We offer a 14-day money-back guarantee for website hosting services.
Requests for refunds must be made within 14 days of the initial purchase.
Logo Creation:
All fees for logo creation services are non-refundable.
Revision terms are based on the package purchased.
Website Maintenance:
All fees for website maintenance services are non-refundable.
Search Engine Optimisation (SEO):
All fees for SEO services are non-refundable.
Custom Work:
All fees for custom work services are non-refundable.
8. Promotions and Special Offers Payment Policy
8.1 Promotional Pricing
Promotional pricing is available for a limited time and is subject to specific eligibility requirements.
8.2 Refund Policy for Promotions
Refunds for promotional services are subject to the same conditions as our general refund policy.
8.3 Changes and Cancellations
Prowject reserves the right to modify or cancel promotional offers at any time without prior notice.
8.4 Promotions and Special Offers Payments
Yearly (Promotion Plan): Payments are processed 14 days after applying the discount. For yearly plans, you’ll be charged on the 15th day, covering 11 months with an additional month free.
Monthly (Promotion Plan): Monthly plans include a free month upfront, followed by regular billing according to your selected plan.
9. Limitation of Liability
9.1 No Warranty
Disclaimer: The Website is provided on an “as-is” basis. We make no representations or warranties of any kind, express or implied, regarding the Website’s availability, functionality, or content. We shall not be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from your use of the Website.

Prowject is not liable for any damages arising from the use of our services, including but not limited to website crashes, data loss, or downtime. While we strive to deliver excellent service, you agree not to hold us or our staff responsible for any such damages.
10. Disputes and Chargebacks

Clients are encouraged to contact Prowject to resolve any payment disputes amicably.
10.2 Chargebacks
Initiating a chargeback without first attempting to resolve the issue with Prowject may result in the suspension or termination of services.
11. Intellectual Property
11.1 Ownership
The Website and its content, including but not limited to text, graphics, logos, and software, are the property of Prowject and protected by intellectual property laws. You may not reproduce, modify, distribute, or otherwise use any part of the Website without our prior written consent.
12. Privacy and Personal Data
12.1 Data Collection and Use
Prowject may collect personal data necessary for providing our services. This data will be used in accordance with our Privacy Policy, which is incorporated by reference into this Policy.
12.2 Handling of Credentials
You, the client, give permission for your credentials and any required details to be handled by third parties in order to carry out the services provided by Prowject. This includes the management of credentials for system upgrades or to restore a website. Once the service is delivered, it is your responsibility to change the password. In cases where credentials need to be temporarily removed, we will restore them once the service is complete. You give permission for this handling and process.
13. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Melbourne, Australia. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Melbourne, Australia.
